Jurisdiction Participation Agreement

This Agreement is between Paradigm Labs LLC, a Florida limited liability company operating the FLPPR platform ("Paradigm Labs," the "Platform"), and the local government or local enforcement agency identified at signing (the "Jurisdiction"). It is executed electronically by an authorized official of the Jurisdiction at participation activation.

1. Authority to Sign

The individual signing this Agreement (the "Signing Official") represents that they are an official of the Jurisdiction with authority to bind the Jurisdiction to this Agreement, including authority to adopt an electronic method for receiving private provider registrations. The Platform records the Signing Official's name, title, typed signature, the agreement version, and the date and time of signing.

2. What Participation Means

By activating participation, the Jurisdiction adopts FLPPR as an electronic method to receive and maintain private provider registrations under section 553.791(4), Florida Statutes (as amended by Chapter 2026-63, Laws of Florida), which requires each local enforcement agency to establish an electronic registration system for private providers.

Participation does not transfer any regulatory authority to Paradigm Labs. The Jurisdiction remains the local enforcement agency; the registration maintained for the Jurisdiction on the Platform is the Jurisdiction's registration within the meaning of section 553.791(1)(p), Florida Statutes.

3. Standing Acceptance of Registrations

While participation is active:

  • Each private provider firm holding an active registration status on the Platform is deemed to have submitted its registration to the Jurisdiction through the Platform, and the Jurisdiction accepts that submission as the firm's registration with the Jurisdiction under section 553.791(4).
  • Updates a firm makes to its registration information (roster, licensure, insurance, contact information) propagate to the Jurisdiction's registration ledger automatically. Delivery through the Platform is delivery by electronic submission software consistent with section 553.791(1)(e), Florida Statutes.
  • Certificates of insurance delivered through the Platform to the Jurisdiction's building official satisfy the delivery contemplated by section 553.791(20), and the Platform records delivery evidence per registration.

Standing acceptance covers receipt and maintenance of registrations only. It does not obligate the Jurisdiction to approve any permit, accept any inspection, or take any position on a firm's performance. Any authority the Jurisdiction retains under section 553.791 to act on a specific registration or provider remains with the Jurisdiction.

4. The Jurisdiction's Registration Ledger

The Platform maintains a per-jurisdiction registration ledger: every firm registered with the Jurisdiction, each registration's current payload, and a timestamped, append-only trail of every change. The ledger is available to the Jurisdiction's authorized users at all times, with printable per-firm registration reports. The ledger is the Jurisdiction's provable record that each registration and update was received.

5. Notifications

The Jurisdiction controls its own notification routing: which events (new registration, roster change, insurance expiration, license status change, registration lapse) go to which recipients, including shared email inboxes. The Jurisdiction is responsible for keeping its routing current; the Platform is responsible for sending configured notifications and recording that it did.

6. No Fees — Either Direction

  • Paradigm Labs charges the Jurisdiction nothing for participation, access, or the registration ledger.
  • The Jurisdiction shall not charge private provider firms or building code professionals any fee or charge for registration or registration updates received through the Platform, consistent with section 553.791(4), Florida Statutes.

7. Jurisdiction Responsibilities

The Jurisdiction will:

  • Keep its user accounts limited to authorized personnel and deactivate departed staff;
  • Use registry data for its regulatory and administrative functions, not for republication as a data product;
  • Not require registered firms to resubmit registration forms or re-verify licensure or insurance beyond the registration maintained on the Platform, consistent with sections 553.791(2)(e) and (11), Florida Statutes;
  • Direct any request for sensitive personal information (for example, Social Security numbers or identity documents) to the firm outside the Platform — the Platform does not hold such documents by design.

8. Paradigm Labs Responsibilities

Paradigm Labs will:

  • Operate the Platform with commercially reasonable care, including the registration ledger, delivery evidence, and notification fan-out;
  • Synchronize license data from public state sources and label every credential with its verification timestamp and freshness;
  • Preserve the append-only integrity of the Jurisdiction's ledger and signature records;
  • Give the Jurisdiction reasonable advance notice of material changes to the Platform or this Agreement (Section 12).

Paradigm Labs is a private company. The Platform is not a government system, and license data on the Platform is sourced from public records — verification timestamps describe when data was synchronized, not a state endorsement. The Jurisdiction retains its own obligations under Florida public records law with respect to records it holds; the parties will cooperate in good faith on any public records request concerning ledger data.

9. Withdrawal and Termination

  • Withdrawal by the Jurisdiction. The Jurisdiction may withdraw from participation at any time by written notice through the Platform or to Paradigm Labs. Withdrawal takes effect no earlier than 30 days after notice, unless the Jurisdiction requires immediate withdrawal by law.
  • Termination by Paradigm Labs. Paradigm Labs may terminate for material breach (with 30 days' notice and opportunity to cure) or if it discontinues the Platform (with at least 90 days' notice).
  • Effect on existing registrations. Registrations received while participation was active were validly received by the Jurisdiction and remain the Jurisdiction's records. On withdrawal or termination, Paradigm Labs will provide the Jurisdiction a complete export of its registration ledger — every registered firm, current registration payloads, and the full change history — in a machine-readable format at no charge. After the effective date, the Platform stops fan-out of new registrations and updates to the Jurisdiction, and the Jurisdiction resumes responsibility for operating its own electronic registration system under section 553.791(4).
  • Firms are notified when a jurisdiction's participation ends, so they know future updates must be delivered to that jurisdiction by other means.

10. Liability

The Platform is provided to the Jurisdiction free of charge, "as is," with the disclaimers and the liability cap set out in the FLPPR Terms of Service, which apply to the Jurisdiction's use of the Platform except where this Agreement states otherwise. Nothing in this Agreement or the Terms of Service waives the Jurisdiction's sovereign immunity or extends any liability of the Jurisdiction beyond what Florida law permits, and no indemnification obligation applies to the Jurisdiction except to the extent permitted by Florida law.

11. Electronic Signature Consent

The parties agree this Agreement is executed by electronic signature. The Signing Official's typed signature, name, title, the agreement version, timestamp, and technical metadata are recorded as the signing record. The parties intend this signature to be given full legal effect under section 553.791(1)(g), Florida Statutes (electronic signature), and Florida's Uniform Electronic Transaction Act, section 668.50, Florida Statutes, and agree to conduct this transaction by electronic means. The Jurisdiction may request a copy of its signed agreement record at any time.

12. Amendments

Paradigm Labs may update this Agreement for future activations at any time. For a participating Jurisdiction, material amendments take effect only after 30 days' notice to the Jurisdiction's administrators; continued participation after the effective date constitutes acceptance by the Jurisdiction. If the Jurisdiction does not accept, it may withdraw under Section 9 before the effective date. Each version is numbered and archived, and the Jurisdiction's signature record always references the version signed.

13. General

  • Governing law and venue: Florida law; venue as set out in the Terms of Service, subject to any venue provision mandated by law for the Jurisdiction.
  • Entire agreement: This Agreement plus the FLPPR Terms of Service is the entire agreement on participation. If they conflict, this Agreement controls for the Jurisdiction.
  • No third-party beneficiaries, except that registered firms may rely on Section 3 (standing acceptance) as evidence their registrations were received.
